Terms of Service

These Terms of Service ("Terms") govern your use of the products and services provided by Fada Labs ("we," "us," or "our"), including GoChatter (AI-powered English tutor) and Theo (AI companion with long-term memory). By accessing or using our services, you agree to be bound by these Terms.

1. User Eligibility

You must be at least 16 years of age to use our services. If you are between 16 and 18 years old, you represent that you have your parent's or legal guardian's consent to use our services. We do not knowingly provide services to children under 13. If we learn that a user is under 13, we will terminate their account and delete their data.

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate information during registration and to notify us promptly of any unauthorized use of your account. You are liable for all activity that occurs under your account.

3. AI Disclaimer

GoChatter and Theo are powered by artificial intelligence. By using our services, you acknowledge and agree to the following:

• AI-generated content may contain errors, inaccuracies, or outdated information. You should not rely on AI responses as a substitute for professional advice, including but not limited to medical, legal, financial, or educational guidance.
• GoChatter is a language practice tool, not a certified educational institution. It does not grant certifications, diplomas, or formal qualifications. Language corrections and suggestions are AI-generated and may not always be accurate.
• Theo is an AI companion and does not provide mental health counseling, therapy, or medical advice. Theo's responses are generated by a machine learning model and should not be treated as human conversation or professional support.
• We do not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated content for any purpose.
• AI models are provided by third-party services (OpenAI), and their availability, behavior, or capabilities may change without prior notice from us.

4. Subscriptions and Payments

Our services are offered on a subscription basis. All payments are processed by Lemon Squeezy, which acts as our Merchant of Record. By subscribing, you agree to the following:

• Billing: Lemon Squeezy handles all billing, invoicing, and payment processing. Your financial data is managed by Lemon Squeezy in accordance with their privacy policy and terms of service.
• Recurring Charges: Subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless canceled before the renewal date.
• Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time within a billing cycle.
• Refunds: Refund requests are handled by Lemon Squeezy in accordance with their refund policies and applicable consumer protection laws.
• Price Changes: We reserve the right to change subscription pricing. You will be notified at least 30 days before any price increase takes effect. Continued use after the effective date constitutes acceptance of the new pricing.
• Taxes: Lemon Squeezy, as Merchant of Record, is responsible for calculating and collecting applicable sales tax, VAT, or other taxes as required by law.

5. Acceptable Use

You agree not to:

• Use our services for any illegal, harmful, or abusive purpose.
• Attempt to reverse-engineer, decompile, or extract source code from our applications.
• Exploit AI features to generate content that is hateful, violent, sexually explicit, or that violates the rights of others.
• Use automated tools, bots, or scripts to access our services in a manner that exceeds normal human usage.
• Share, resell, or redistribute your account access to third parties.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

6. Intellectual Property

All content, trademarks, designs, and software associated with GoChatter and Theo are the property of Fada Labs. You retain ownership of the content you submit (such as messages), but you grant us a limited license to process it as necessary to provide our services. AI-generated responses are provided for your personal use and may not be commercially redistributed.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• Fada Labs provides its services on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• In no event shall Fada Labs, its officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising from your use of or inability to use our services.
• Our total aggregate liability for any claims arising from or related to these Terms or our services shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not liable for any damages resulting from reliance on AI-generated content, service interruptions, unauthorized access to your account, or actions of third-party providers (including OpenAI and Lemon Squeezy).

8. Service Availability

We strive to maintain continuous availability of our services, but we do not guarantee uninterrupted access. Services may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We reserve the right to modify, suspend, or discontinue any service at any time, with reasonable notice when possible.

9. Termination

We may suspend or terminate your access to our services at our discretion if you violate these Terms. Upon termination:

• Your right to use the services ceases immediately.
• We may delete your account data, including chat history and Theo's conversation memory, in accordance with our Privacy Policy.
• Provisions that by their nature should survive termination (including Limitation of Liability, AI Disclaimer, and Intellectual Property) will remain in effect.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of our services shall be resolved through good-faith negotiation before pursuing formal legal proceedings.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by posting the updated Terms on this page and updating the effective date. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
